Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Jetlane Networks, LLC, a Delaware limited liability company ("Jetlane", "we", "our"). By creating an account, completing a purchase, or otherwise using any Jetlane service, you accept these Terms in full. If you do not accept, do not use the services.

If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. Services

Jetlane provides Infrastructure-as-a-Service (IaaS) products from a Tokyo data center, including: virtual private servers (VPS), dedicated bare-metal servers, colocation, IP transit, edge DDoS mitigation, and the AI Relay API gateway (collectively, the "Services"). Service descriptions on jetlane.io form part of these Terms. We may add, change, or discontinue any Service on 30 days notice, except where shorter notice is required for security or legal reasons.

3. Eligibility

You must be at least 18 years old and have legal capacity to contract. You must not be a person or entity subject to sanctions administered by OFAC, the EU, the UK, or the United Nations, and you must not order Services for use by such persons. We may verify eligibility at any time and refuse or terminate Service if verification fails.

4. Account & Security

You are responsible for: (a) providing accurate, current account information; (b) keeping your credentials secret; (c) all activity under your account, whether or not authorized by you. Notify us immediately of any unauthorized access at security@jetlane.io. We may suspend access if we reasonably believe an account is compromised.

5. Subscriptions, Billing, and Renewal

Subscription Services renew automatically at the end of each billing period using your saved payment method, until canceled. You authorize us (and our payment processor) to charge the applicable fees plus any taxes. Prices may change with 30 days notice; changes apply to renewals on or after the effective date. Failed payments enter a 7-day grace period, after which Services may be suspended. Suspended accounts may be reactivated within 30 days by curing the balance; after 30 days, data may be deleted.

6. Refunds

Refunds are governed by our Refund Policy, incorporated by reference.

7. Acceptable Use

Your use of Services is subject to our Acceptable Use Policy, incorporated by reference. You are responsible for all content, code, and traffic on or from your Services, and for the conduct of your end users.

8. Suspension and Termination

We may suspend or terminate any Service immediately for: (a) non-payment after the grace period; (b) AUP violation; (c) court order, valid law enforcement request, or legal compliance; (d) emergency security or abuse mitigation. Where reasonably possible we provide prior notice. Termination does not relieve unpaid balances. Sections 10, 11, 12, 14, 15, and 16 survive termination.

9. Intellectual Property

Jetlane retains all rights, title, and interest in the Services, our software, brand, and documentation. You retain all rights in content and data you upload ("Your Content"). You grant Jetlane a limited license to host, transmit, and process Your Content solely to provide the Services. We do not access, read, or use Your Content except as necessary for support (with your request), security/abuse investigation, or as required by law.

10. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR THE SLA, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". JETLANE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JETLANE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO JETLANE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED USD ($100). IN NO EVENT WILL JETLANE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in such jurisdictions, the above limits apply to the maximum extent permitted.

12. Indemnification

You will indemnify and hold harmless Jetlane and its officers, employees, and agents from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your use of the Services in violation of these Terms or the AUP; (c) your violation of any law or third-party right.

13. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice by email and by a notice on jetlane.io. Your continued use after the effective date constitutes acceptance. If you object, you may cancel and receive a pro-rata refund for unused prepaid Services.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

15. General

If any provision is held unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. These Terms (with the policies incorporated by reference) are the entire agreement and supersede prior agreements on the same subject.
